These Terms and Conditions (“Terms”) apply to your registration and participation in hosting an official Oman Climate Week event as part of and in affiliation with Oman Climate Week 2025 (“Your Event”). 

If accepted by us, your application for Your Event to become an Official Oman Climate Week Event, together with these Terms, shall form an “Official Oman Climate Week Event Agreement”. It may also be referred to as the “Agreement”. 

Who we are 
 
Oman Climate Week: The series of events collectively under Oman Climate Week 2025, which are scheduled to take place between 21 February – 1 March 2025 in Muscat, Oman. 
 
(The Organiser) Birba Energy LLC: An Omani media, events and intelligence agency, advocates for sustainable economies in line with Oman’s Vision 2040 and the United Nations’ sustainable development goals. Through events, media, and intelligence, Birba explores pathways to diversified, sustainable economies, fostering economic and social opportunities. 

Oman Climate Week Marks: The designation “Oman Climate Week”, and such other designations or trademarks to be used for promotion, advertising, and marketing of Oman Climate Week, as provided by us to you, together with any associated artwork, design, slogan, or text and other collateral marketing signs that are expressly permitted to be used in connection with Oman Climate Week or Your Event. 

Oman Climate Week Guidelines: Oman Climate Week’s technical and user guidelines for the event may be updated by The Organiser from time to time. 

Commercial Rights: All rights of a commercial nature connected with Oman Climate Week, including, without limitation, image rights, broadcasting rights, new media rights, endorsement and official supplier rights, sponsorship rights, merchandising rights, licensing rights, advertising rights, and hospitality rights. 

Intellectual Property or IP: Means intellectual property of any description including but not limited to all patents, utility models, rights to inventions, supplementary protection certificates, copyright and neighbouring and related rights, moral rights, trademarks and service marks, logos, business names and domain names, rights in get-up, goodwill and the right to sue for passing off or unfair competition, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for, and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world. 

Licence: Means a non-exclusive, non-transferable, non-sublicensable, non-commercial right and licence. 

Your Marks: Your pre-existing logos and trademarks, together with any accompanying artwork, design, slogan, text, and other collateral marketing signs. 

Your Oman Climate Week Materials: Any advertising or promotional materials or products produced by or on behalf of you, which associate you or your products with Oman Climate Week, or which incorporate or are distributed in association with Oman Climate Week Marks. 

Term 

The term of this Agreement (the Term) starts when we confirm your registration or any kind of affiliation with the event and ends on 7th March 2025, unless terminated earlier. 

Registration 

To register your event as an Official Oman Climate Week Event, you must both complete the applicable registration process and pay the Registration Fee. Acceptance of registration is entirely at the discretion of the Oman Climate Week Organisers, and the Organisers may choose to deny registration for any reason whatsoever without having to give an explanation. 

To make sure that Oman Climate Week 2025 is successful, we require that all events organised under the flag of Oman Climate Week Events must, at a minimum: 

• Be solution-focused; 

• Support the acceleration of the transition to net zero, the reduction of carbon emissions; and/or support a more environmentally responsible world. 

• Enhance the reputation of Oman Climate Week. 

Registration Fee 

The Registration Fee is the one-off amount that you will pay to the Organisers. 

Payment is due when your application is accepted, but your registration is not confirmed until you’ve paid. If we accept your application, we will send you an email confirming the relevant Registration Fee and a link to the online payment method. 

Standard Registration Fee – for registrations accepted from 15 July through 30 November 2025. 

• Standard fee: OMR 250. 

• NGO/non-profit: OMR 0 fee, but donation requested; 

• Sponsors and approved partners: $0 fee, but donation requested. 

Late Registration Fee – for registrations accepted from 1 December through 15 January 2025. 

• Late registration fee: OMR 900. 

• Late registration NGO/non-profit fee: OMR 150 fee. 

• Late registration Sponsors and approved partners: $0 fee, but donation requested. 

From 15 January, submissions close. Exclusions to this are considered on a case-by-case basis and cannot be guaranteed. 

Your Obligations 

You agree and undertake that you will: 

Promotion: Support Oman Climate Week through appropriate marketing and promotional channels, and work with us on any joint promotion. Your promotion includes referring to Oman Climate Week in your newsletter, website, blog, LinkedIn, Facebook, Instagram, Twitter, and other social media or equivalent. 

Your Oman Climate Week Materials: Send us pre-production samples of Your Oman Climate Week Materials, for our review and approval (not to be unreasonably withheld), and make sure any materials used match samples approved by us. 

Your Side Event: Be wholly responsible for hosting Your Side Event and use of Oman Climate Week Materials, including all costs and expenses. Affiliate events are expected to enhance the overall reputation of Oman Climate Week. You will also provide us with timely access to, and permission to reproduce and publish through our own media, selected images and videos taken of any event organised in connection with Oman Climate Week. 

Instructions: Comply with instructions or directions issued by us, including any codes of conduct, and make sure you include all legal or good practice notices we request (for example, copyright notices). 

Standards: Make sure Your Event and your use of the Oman Climate Week Marks comply with the highest standards of business ethics, including relating to child or prison labour. 

Assistance: Provide all reasonable assistance to The Organiser that we may need to protect or use the Oman Climate Week Marks or our Commercial Rights. You will notify The Organiser of any suspected IP infringement but will not take any steps or action in relation to this suspected infringement, unless we permit or ask you to. 

Prohibitions 

You must not: 

• Use or exploit any of the Commercial Rights in any way, other than the limited Licence granted to you under these Terms; 

• Circulate or use any Your Oman Climate Week Materials that have not been approved by us or do not comply with the Oman Climate Week Marks Guidelines or these terms and conditions; 

• Use Oman Climate Week Marks or any part of them or anything confusingly similar to them in your trading or corporate name or otherwise, or hold yourself out to any third party as the owner or controller of the Commercial Rights or any rights in Oman Climate Week Marks; 

• Do or allow anything that might prejudice or adversely affect (or has a reasonable potential to prejudice or harm) any of the Commercial Rights and/or Oman Climate Week Marks and/or title to any of our IP, and/or the image or reputation of Oman Climate Week, or to bring any of them into disrepute. 

Your Information 

Personal Data: If you provide us with contact details or personal data during your registration or as part of this Agreement, we are committed to handling it with care. We prioritise protecting and respecting your personal information, ensuring it is processed fairly, openly, and transparently. It is your responsibility to make sure that you have the appropriate rights and consent to provide this information to us, and for us to use it as part of the promotion of Oman Climate Week 2025 or Your Event. You acknowledge that we may make such personal data available to third parties such as Oman Climate Week attendees as part of the programme, app or in promotion of Your Event. You must comply with all applicable data protection and privacy laws that may apply to such information. 

Photos: If you send us any images or photos (for example, as part of your registration), you represent that you have all rights and permissions needed and that nothing provided to us violates any IP rights of any person or entity, and that we are authorised to use them for the purposes of this Agreement. This also applies to any images or photos you provide to us of Your Event. You will make sure that any photographers or anyone in the photos or images have also consented to such use and, where relevant, waived moral rights. 

Our Grant to You 

In consideration of the Registration Fee, we grant you a Licence to use, during the Term, the Oman Climate Week Marks solely to promote and advertise Your Event and your affiliation with Oman Climate Week 2025. This licence allows you to use the Oman Climate Week Marks on your website, social media platforms and in advertising of Your Event. You must always meet and follow the Oman Climate Week Brand Guidelines. 

This is a non-commercial Licence only and, other than the Licence above, you are not allowed to exploit any of the Commercial Rights. The Oman Climate Week Marks may not be used to generate revenue or as a profit-making activity, other than indirectly through goodwill and positive reputation from your affiliation with Oman Climate Week. 

Your Grant to Us 

You grant Oman Climate Week a worldwide Licence to use Your Marks as well as any images provided to us by you, for the purposes of providing our services to you as part of Oman Climate Week, to identify you as the organiser of Your Event or to announce Your Event in Oman Climate Week on any official platform (including the Oman Climate Week’s websites, social media platforms, and the app). This licence applies both during the Term and afterwards, for reports or schedules produced about Oman Climate Week or in the advertising or promotion of future Oman Climate Week events. We may grant a sub-licence to our Official Partners, where necessary for them to meet their obligations. 

You acknowledge that you have the appropriate rights to grant us this Licence and that we may use this information in a way that does not misrepresent the relationship between us or cause you any reputational harm. 

IP Ownership 

We (or our licensors) own all rights, title, and interest in the Oman Climate Week Marks, Commercial Rights, and any materials or content developed for, or used in connection with, Oman Climate Week, including this Agreement. Except for the limited Licence granted to you, you do not acquire any rights or interests in the Oman Climate Week Marks, Commercial Rights or any materials or content developed for or used in connection with Oman Climate Week. 

Indemnity 

You will fully indemnify and hold harmless us, our Official Partners, our licensors, and our respective directors, officers, employees, and agents from and against any and all costs, claims, liabilities, expenses, damages, and losses (including, without limitation, reasonable legal fees and expenses) suffered or incurred by any of them arising out of or in connection with: 

• Any breach by you of this Agreement; 

• Any claim by a third party that the use of Your Marks, photos, images, or any content provided by you (in connection with Your Event) breaches any applicable laws, regulations, codes of practice or third party rights, including IP and privacy rights. 

Liability 

Except as required by applicable law, we are not liable to you for any: 

• Loss of profits, sales, business, or revenue; 

• Business interruption; 

• Loss of anticipated savings; 

• Loss of business opportunity, goodwill, or reputation; 

• Indirect or consequential loss or damage. 

Termination 

Either party may terminate this Agreement with immediate effect if the other party materially breaches its terms and, where the breach is capable of remedy, fails to remedy it within 7 days of notice of the breach. 

Without affecting any other rights or remedies, we may terminate this Agreement with immediate effect, in our sole discretion, if: 

• You are involved in any activity that brings, or is likely to bring, Oman Climate Week into disrepute, or is damaging or likely to be damaging to our interests; 

• We are unable to accept your registration or hold Oman Climate Week as planned; 

• If, in our sole opinion, you fail to comply with your obligations or infringe any of our IP rights. 

Effects of Termination 

Upon termination of this Agreement for any reason, you will immediately cease all use of the Oman Climate Week Marks and will promptly remove any reference to Oman Climate Week from your website, social media platforms, and all other promotional materials. All rights and licences granted to you under this Agreement will immediately terminate. 

Termination of this Agreement will not affect any rights, remedies, obligations, or liabilities of either party that have accrued up to the date of termination, including the right to claim damages in respect of any breach of the Agreement which existed at or before the date of termination. 

General 

Entire Agreement: This Agreement constitutes the entire agreement between you and us regarding your use of the Oman Climate Week Marks and supersedes all prior agreements, understandings, or arrangements, whether oral or written, between us. 

Variation: No variation of this Agreement will be effective unless it is in writing and signed by both parties (or their authorised representatives). 

Waiver: No failure or delay by a party to exercise any right or remedy provided under this Agreement or by law constitutes a waiver of that or any other right or remedy, nor will it preclude or restrict the further exercise of that or any other right or remedy. 

Severance: If any provision or part-provision of this Agreement is or becomes invalid, illegal, or unenforceable, it will be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision or part-provision will be deemed deleted. Any modification or deletion of a provision or part-provision under this clause will not affect the validity and enforceability of the rest of this Agreement. 

Governing Law: This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation will be governed by and construed in accordance with the laws of Oman. The courts of Oman will have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Agreement or its subject matter or formation.
